TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“User,” “you”), and Inno100 LLC (“Company,” “we,” “our,” or “us”), governing your access to and use of our AI-powered communication and automation platform and related services (the “Service”).

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Definitions

For purposes of these Terms:

  • Account means a registered user account required to access the Service.

  • Subscription means a recurring paid plan granting access to the Service.

  • User Content means any data, text, audio, or information submitted through the Service.

  • AI System means the automated software used to generate responses and perform tasks.

  • Usage Fees means charges based on actual consumption of Service resources.

  • Confidential Information means proprietary or non-public information disclosed between parties.

2. Eligibility

The Service is intended only for individuals aged 18 or older with legal capacity to enter contracts. By using the Service, you represent that you meet these requirements.

3. Description of Services

The Service provides AI-driven communication, automation, and administrative tools. Features may include automated call handling, messaging, scheduling, analytics, and related functions.

We reserve the right to modify, improve, suspend, or discontinue any aspect of the Service at any time without liability.

You acknowledge that AI-generated outputs may not always be accurate or appropriate and must be reviewed by you before reliance.

4. Account Registration and Security

You agree to:

  • Provide accurate and complete information

  • Maintain confidentiality of login credentials

  • Accept responsibility for all activity under your Account

We reserve the right to refuse service, suspend accounts, or terminate access at our discretion.

5. User Responsibilities and Legal Compliance

You are solely responsible for:

  • All communications conducted using the Service

  • Compliance with telecommunication, privacy, and consumer protection laws

  • Obtaining required consents from recipients

  • Maintaining Do Not Call compliance where applicable

We provide no legal advice. You agree to consult qualified counsel regarding compliance.

You agree to indemnify and hold the Company harmless from all claims arising from your misuse or unlawful use of the Service.

6. Prohibited Uses

You may not use the Service for:

  • Illegal or fraudulent activity

  • Harassment, abuse, or deception

  • Spam or unauthorized bulk communications

  • Distribution of malware

  • Intellectual property infringement

  • Interference with system integrity

  • Impersonation or misrepresentation

Violations may result in immediate termination without refund.

7. Acceptable Use Policy

You may not upload or transmit content that:

  • Is unlawful, defamatory, or obscene

  • Encourages criminal activity

  • Violates third-party rights

  • Contains harmful code

  • Overburdens infrastructure

  • Attempts unauthorized access

We may remove violating content and terminate repeat offenders.

8. Subscription Terms

Subscriptions are billed in advance and automatically renew unless canceled before renewal.

We may modify pricing with notice. Failure to pay may result in suspension or termination.

Taxes may apply.

9. Usage Fees

Certain features may incur additional usage-based fees billed monthly. All fees are non-refundable except as required by law.

We reserve the right to adjust fees with notice.

10. Free Trials and Cancellation

Free trials may be offered at our discretion. After trial expiration, paid subscriptions automatically begin unless canceled.

Cancellation takes effect at the end of the billing period.

11. Refund Policy

11.1 General Policy

Due to the digital nature of the Service, payments are generally non-refundable.

11.2 Limited Refund Eligibility

Refunds may be granted only if:

  • Requested within 3 days of initial purchase

  • A verified technical failure prevents core functionality

  • The issue cannot be resolved through support

  • Service usage has been minimal

Refund decisions are at our sole discretion.

11.3 Non-Refundable Circumstances

Refunds will not be issued for:

  • Change of mind

  • Lack of technical understanding

  • Subscription renewals

  • User misuse or violations

  • Third-party outages

  • Completed setup or onboarding

11.4 Chargebacks

Unauthorized chargebacks may result in account termination and recovery actions.

12. Intellectual Property Rights

All Service technology remains the property of the Company.

You retain ownership of User Content but grant us a license to use it to operate and improve the Service.

AI-generated content may require independent verification by you.

13. Privacy and Data Security

We implement commercially reasonable safeguards but cannot guarantee absolute security. Transmission of data occurs at your own risk.

14. Confidentiality

Each party agrees to protect Confidential Information using reasonable care and to use it only for purposes related to the Service.

15. Service Availability and Modifications

We do not guarantee uninterrupted Service. Temporary interruptions may occur.

We are not liable for service unavailability beyond our reasonable control.

16. Third-Party Services

The Service may interact with third-party systems. We are not responsible for third-party services or content.

17. User Feedback

Feedback provided by Users may be used by the Company without compensation.

18. Compliance with Laws

You agree to comply with all applicable domestic and international laws, including telecommunications and privacy regulations.

19. Indemnification

You agree to indemnify and defend the Company against all claims arising from:

  • Your use of the Service

  • Violation of laws

  • Breach of these Terms

20. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect or consequential damages

  • Total liability is limited to fees paid in the previous 30 days

  • The Service is provided “as is”

21. AI Disclaimer

AI outputs are automated and may contain inaccuracies. You assume all risk in relying on such outputs.

22. Dispute Resolution

Disputes shall be resolved through binding arbitration in Indiana, USA, under American Arbitration Association rules.

Either party may seek injunctive relief in court if necessary.

23. Termination

We may suspend or terminate access immediately for violations. Upon termination, all rights to use the Service cease.

24. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.

25. Governing Law

These Terms are governed by the laws of Indiana, United States.

26. General Provisions

If any provision is unenforceable, the remainder remains valid.

These Terms constitute the entire agreement between the parties.
