These Terms & Conditions ("Agreement") govern the relationship between Inno100 LLC ("Inno100", "we", "us", or "our") and any client ("Client", "you", or "your") who uses our website design, hosting, booking system, or AI Receptionist services. 1. Scope of Services

Inno100 provides website design, hosting, and booking system solutions for drivers, taxi companies, and other businesses. Effective January 2026, Inno100 also provides AI Receptionist services as described in Section 15.
We do not provide ride-sharing, transportation, or payment-processing services.
Our role is limited to providing the software platform and hosting environment.


2. Client Responsibilities

  • You are solely responsible for operating your transportation business and for all interactions, transactions, and communications with your passengers or customers.

  • You must maintain your own business licenses, vehicle insurance, and personal liability coverage as required by law.

  • You agree that Inno100 is not responsible for any financial, operational, or legal matters related to your transportation services.

  • You are responsible for ensuring that your website's content complies with applicable local, state, and federal laws.


3. Ownership

  • The domain name associated with your website is your property.

  • Inno100 retains ownership of all software, templates, source code, and proprietary technologies used to create or host the website.

  • You are granted a lifetime license to use the website as provided, subject to compliance with these terms.


4. Hosting and Maintenance

  • Inno100 will provide hosting services as part of your subscription plan.

  • While we strive for maximum uptime, we cannot guarantee continuous or error-free operation of your website.

  • Scheduled maintenance or unforeseen technical issues may cause temporary downtime, for which Inno100 shall not be held liable.


5. Payments and Fees

  • Hosting and maintenance fees are billed according to the agreed subscription plan.

  • Failure to pay invoices on time may result in suspension or termination of hosting services.

  • All payments made are non-refundable, except as required by law.


6. Disclaimer of Liability

You acknowledge and agree that:

  • Inno100 is not a transportation provider, broker, or agent.

  • Inno100 is not responsible for:

    • Any accidents, damages, or injuries arising from your services.

    • Any disputes, claims, or losses involving passengers or third parties.

    • Any financial losses or chargebacks resulting from your transactions.

  • All responsibility for business operations, safety, and legal compliance rests solely with you.


7. Limitation of Liability

To the fullest extent permitted by law, Inno100 shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, data, or reputation, arising from the use or inability to use our services.
Our total liability shall not exceed the total amount paid to Inno100 within the last twelve (12) months of service.


8. Indemnification

10. Data and Privacy

We do not access, manage, or store any financial transaction data between you and your passengers.
You are responsible for complying with privacy laws applicable to your business and website visitors.


11. Termination

Inno100 may suspend or terminate your hosting or service access if:

  • You fail to comply with these Terms,

  • You use the service for illegal or unethical purposes, or

  • Payment obligations are not met.

Upon termination, your website data will remain accessible for export for a limited period, after which it may be permanently deleted.


12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, USA, without regard to its conflict of law principles.

15. AI Receptionist Services

This section governs the use of the Inno100 AI Receptionist service ("AI Receptionist") available at ai.inno100.tech. By activating or using the AI Receptionist, you agree to the terms in this section in addition to all other terms in this Agreement.

15.1 Description of Service

The AI Receptionist is an automated voice and messaging platform that answers phone calls, responds to caller inquiries, books appointments, and sends SMS messages on behalf of your business. The service operates 24 hours a day, 7 days a week, and is powered by artificial intelligence and third-party voice and telephony providers.

15.2 Client Responsibilities

As a client using the AI Receptionist, you agree to:

  • Provide accurate and complete information about your business, services, and call-handling preferences during setup and whenever that information changes.

  • Ensure all content, scripts, and knowledge base information you provide to configure the AI are lawful, accurate, and do not infringe on any third-party rights.

  • Comply with all applicable federal, state, and local laws governing automated calling systems, artificial intelligence, and telephony — including but not limited to the Telephone Consumer Protection Act (TCPA), the FTC's Telemarketing Sales Rule, and any applicable state-level AI disclosure laws.

  • Obtain all legally required consents from your callers and customers before using the AI Receptionist to interact with them, including consent for call recording and automated messaging where required by law.

  • Not use the AI Receptionist to place unsolicited calls, conduct robocall campaigns, spam contacts, or harass any individual.

  • Not use the AI Receptionist for any unlawful, deceptive, discriminatory, or unethical purpose.

  • Promptly update your AI configuration if your services, pricing, policies, or business information changes.

15.3 Call Recording and Transcription

The AI Receptionist automatically records and transcribes calls for quality assurance, analytics, and operational logging. You acknowledge and agree that:

  • You are solely responsible for notifying your callers that their calls may be recorded and transcribed, as required by applicable law. In many jurisdictions, all-party consent is required before recording a call.

  • Inno100 is not responsible for any legal claims arising from your failure to provide legally required recording disclosures to your callers.

  • Call transcripts and recordings are accessible through your dashboard and are retained for the period specified in your subscription plan.

  • You must not use transcripts or recordings in violation of any applicable privacy or data protection law.

15.4 Appointment Booking and Third-Party Integrations

The AI Receptionist may integrate with third-party scheduling tools (such as Calendly and Acuity Scheduling) and other platforms via API connections. You acknowledge that:

  • Inno100 is not responsible for the availability, accuracy, or performance of any third-party platform your AI Receptionist connects to.

  • Inno100 is not liable for missed, double-booked, or incorrectly scheduled appointments resulting from errors in third-party integrations or your calendar configuration.

15.5 SMS Messaging

The AI Receptionist may send SMS messages to callers on your behalf during or after a call. You agree that:

  • You have obtained all legally required consents from recipients before SMS messages are sent on your behalf.

  • You will not use the SMS feature for mass marketing, spam, or unsolicited text campaigns.

  • SMS credits are consumed according to your plan. Unused credits do not roll over to the following billing period unless explicitly stated in your plan.

  • Inno100 is not responsible for SMS delivery failures caused by carrier restrictions, network issues, or recipient opt-outs.

15.6 Voice Credits and Usage

Access to the AI Receptionist is governed by a credit-based system:

  • Each subscription plan includes a set number of voice credits and SMS credits per billing period, as described on the pricing page.

  • One (1) voice credit is generally equivalent to one (1) minute of AI call handling time. Exact credit consumption may vary based on call complexity, integrations, and provider rates.

  • Credits are replenished at the start of each billing cycle and do not carry over unless otherwise stated.

  • If you exhaust your included credits, service may be paused or you may be offered the option to purchase additional credits at the then-current rate.

  • Inno100 reserves the right to adjust credit rates with thirty (30) days' written notice.

15.7 AI Accuracy and Limitations

You understand and acknowledge that the AI Receptionist is an automated system with inherent limitations:

  • The AI may not correctly interpret all caller requests, accents, or languages, and may occasionally provide inaccurate or incomplete responses.

  • Inno100 makes no warranty that the AI Receptionist will perform without errors, interruptions, or inaccuracies.

  • You are responsible for monitoring the AI's performance through your dashboard, reviewing transcripts, and updating your configuration as needed.

  • Inno100 is not liable for any business loss, missed opportunity, or customer dissatisfaction resulting from AI errors, misunderstandings, or service interruptions.

  • The AI Receptionist is not a substitute for professional legal, medical, financial, or emergency advice. You must configure the AI to escalate such inquiries to a qualified human.

15.8 Emergency Calls

The AI Receptionist is not equipped to handle emergency situations. You must configure your AI to immediately direct any caller expressing a medical, safety, or other emergency to call 9-1-1 or the appropriate emergency service. Inno100 is not liable for any harm resulting from the AI's handling of an emergency situation.

15.9 Caller Data and Privacy

The AI Receptionist collects caller information including phone numbers, call content, and any data voluntarily provided during a call. You agree that:

  • You are the data controller for all caller data collected through your AI Receptionist account and are solely responsible for its lawful use.

  • You will maintain a publicly accessible privacy policy that accurately discloses how caller data is collected, used, and retained.

  • Inno100 processes caller data solely to deliver the AI Receptionist service and does not sell caller data to third parties.

  • You must honor any caller request to delete or restrict their data in accordance with applicable privacy law.

15.10 Service Availability

Inno100 will use commercially reasonable efforts to maintain the availability of the AI Receptionist platform. However:

  • We do not guarantee uninterrupted, error-free service.

  • Planned maintenance windows will be communicated in advance where reasonably practicable.

  • Service disruptions caused by third-party telephony providers, internet outages, or force majeure events are outside Inno100's control and do not entitle you to refunds or credits unless otherwise agreed in writing.

15.11 Limitation of Liability — AI Receptionist

To the fullest extent permitted by law, Inno100 shall not be liable for any damages, losses, or claims arising from:

  • Calls not answered due to service outages or credit exhaustion.

  • Inaccurate, incomplete, or misunderstood AI responses.

  • Failure to comply with call recording consent laws.

  • Third-party integration failures or scheduling errors.

  • Any action taken or not taken by a caller based on information provided by the AI Receptionist.

Inno100's total liability for AI Receptionist-related claims shall not exceed the total fees paid for the AI Receptionist service in the three (3) months preceding the claim.


16. Affiliate Program

This section governs participation in the Inno100 Affiliate Program ("Affiliate Program"). By applying to or participating in the Affiliate Program, you ("Affiliate") agree to be bound by the terms in this section in addition to all other applicable terms in this Agreement.

16.1 Program Overview

The Inno100 Affiliate Program allows eligible individuals and businesses to earn referral commissions by referring new paying clients to Inno100's AI Receptionist service and other eligible Inno100 products. Affiliates are provided with a unique referral link or code to track referrals.

16.2 Eligibility

To participate in the Affiliate Program, you must:

  • Be at least 18 years of age.

  • Have a valid email address and, where applicable, a registered business entity or tax identification number.

  • Complete the Inno100 affiliate application and receive written approval from Inno100.

  • Not be an employee, contractor, or immediate family member of an Inno100 employee.

  • Comply with all applicable laws, regulations, and these Terms at all times.

Inno100 reserves the right to accept or reject any affiliate application at its sole discretion and without obligation to provide a reason.

16.3 Referral Tracking

Each approved Affiliate receives a unique referral link or promo code. A referral is attributed to you when:

  • A new prospect clicks your referral link or uses your referral code,

  • The prospect completes a qualifying signup and becomes a paying client within the cookie window specified in your affiliate dashboard (typically 30 days), and

  • The referred client's payment is successfully processed and not reversed or refunded.

Referrals made to existing Inno100 clients or to clients already in active sales discussions with Inno100 are not eligible for commission.

16.4 Commission Structure

Commissions are calculated as follows:

  • The commission rate and structure applicable to your account are set out in your affiliate dashboard or in a separate written agreement with Inno100.

  • Unless otherwise agreed in writing, the default commission is a percentage of the first qualifying payment made by each referred client.

  • Inno100 reserves the right to modify commission rates at any time with thirty (30) days' written notice to active affiliates. Referrals made before the change takes effect will be honored at the original rate.

  • Commissions are not earned on taxes, fees, chargebacks, or refunds.

16.5 Payment of Commissions

Commission payments are subject to the following terms:

  • Commissions are paid on a monthly basis, provided the earned balance meets the minimum payout threshold specified in your affiliate dashboard (default: $50 USD).

  • Inno100 will issue payment via the payment method selected in your affiliate account (such as PayPal, bank transfer, or other available methods).

  • Affiliates are responsible for providing accurate payment information. Inno100 is not responsible for payment failures caused by incorrect information provided by the Affiliate.

  • Inno100 may withhold commission payment for up to sixty (60) days from the date of the qualifying referral to account for refund windows and chargeback risks.

  • All commissions are paid in US Dollars (USD). Any currency conversion fees are the responsibility of the Affiliate.

16.6 Tax Obligations

Affiliates are independent contractors and are solely responsible for all taxes, duties, and levies applicable to commissions earned. Inno100 will issue applicable tax forms (such as IRS Form 1099) to US-based affiliates where required by law. Non-US affiliates are responsible for complying with their local tax laws. Inno100 may require you to submit a completed W-9 (US) or W-8BEN (non-US) form before commissions are paid.

16.7 Affiliate Conduct and Prohibited Activities

As an Affiliate, you agree that you will not:

  • Make false, misleading, or exaggerated claims about Inno100's products or services.

  • Use spam, unsolicited email, or any form of mass unsolicited messaging to promote your referral link.

  • Bid on Inno100's branded keywords (including "Inno100") in paid search advertising without prior written approval.

  • Engage in cookie stuffing, click fraud, or any other fraudulent or artificial referral activity.

  • Refer yourself, your own business accounts, or use fake identities to generate commissions.

  • Offer unauthorized discounts, rebates, or incentives to prospects that Inno100 has not approved.

  • Represent yourself as an employee, partner, or official representative of Inno100.

  • Use Inno100's brand name, logo, or trademarks in a manner inconsistent with brand guidelines provided by Inno100.

Any violation of these conduct rules may result in immediate termination of your affiliate account and forfeiture of any unpaid commissions.

16.8 Affiliate Marketing Materials

Inno100 may provide approved marketing materials including banners, copy, and graphics. You agree to:

  • Use only approved materials or materials that accurately represent Inno100's services.

  • Clearly identify all promotional content as referral or affiliate content where required by applicable law (e.g., FTC disclosure guidelines in the United States).

  • Not alter approved materials in any way that changes their meaning or misrepresents Inno100's products.

16.9 Relationship of Parties

You are an independent contractor, not an employee, agent, partner, or joint venturer of Inno100. You have no authority to enter into contracts on behalf of Inno100, make representations that bind Inno100, or commit Inno100 to any financial obligation. Inno100 is not responsible for your business expenses, equipment, or operating costs.

16.10 Term and Termination of Affiliate Status

Your participation in the Affiliate Program continues until terminated by either party. Either you or Inno100 may terminate your affiliate participation at any time with written notice.

Inno100 may terminate your affiliate account immediately and without notice if:

  • You breach any provision of these Terms or the Affiliate Program guidelines,

  • You engage in fraudulent, deceptive, or unlawful activity,

  • Your account remains inactive (no referrals) for twelve (12) consecutive months, or

  • Inno100 discontinues the Affiliate Program in its entirety.

Upon termination, any commissions earned and confirmed prior to the termination date will be paid out at the next scheduled payment date, subject to the sixty (60)-day withholding period. Commissions tied to referrals under investigation for fraud at the time of termination will be forfeited.

16.11 Modification of the Affiliate Program

Inno100 reserves the right to modify, suspend, or discontinue the Affiliate Program at any time. Material changes will be communicated to active affiliates with at least thirty (30) days' written notice. Continued participation after notice constitutes acceptance of the updated terms.

16.12 Limitation of Liability — Affiliate Program

Inno100 is not liable for any indirect, incidental, or consequential damages arising from your participation in the Affiliate Program, including but not limited to lost commissions due to technical errors in referral tracking, changes to the commission structure, or program termination. Inno100's total liability to any Affiliate shall not exceed the total commissions paid to that Affiliate in the three (3) months preceding the claim.

16.13 Confidentiality

As an Affiliate, you may have access to non-public information about Inno100's pricing, products, commission rates, or business strategy. You agree to keep all such information strictly confidential and not to disclose it to any third party without Inno100's prior written consent.
